01 About these terms

Karmion Grid is an independent information technology consulting practice based in Denver, Colorado. Throughout this document, “we,” “us,” and “our” refer to Karmion Grid, and “you” refers to the individual or organization accessing this website or engaging our services.

These terms apply to your use of the website. When we are engaged for a specific consulting project, the work is also governed by a separate written engagement agreement. Where a signed engagement agreement conflicts with these terms, the engagement agreement controls for that project.

02 Use of the website

The content on this website is provided for general information about our practice and the services we offer. You may view, download, and print pages for your own reference. You agree not to use the site in any way that is unlawful, that could damage or impair it, or that interferes with another party’s use of it.

You agree not to attempt to gain unauthorized access to any part of the site, the server on which it is stored, or any connected database or system. You will not introduce malicious code, attempt to probe or scan the infrastructure, or use automated means to harvest content without our written permission.

03 Nature of our services

We provide advisory and consulting services: infrastructure audits and assessments, technology strategy and roadmap development, vendor and tooling consultation, and the preparation of IT documentation and policies. Our work consists of analysis, written findings, recommendations, and guidance.

Our recommendations are advisory. We give you our professional opinion based on the information available to us and the access we are granted. Decisions about whether and how to act on that advice remain yours. We do not guarantee any particular business outcome, cost saving, performance improvement, or commercial result.

04 Engagements, scope, and fees

Before any project begins, we agree a written scope describing the work, the deliverables, the timeline, and the fee. The starting prices shown on this website are indicative; the final fee for an engagement is set in that written scope and depends on the size and complexity of your environment.

Unless agreed otherwise in writing, fees are quoted in United States dollars and are exclusive of any applicable taxes. Work outside the agreed scope is treated as a separate engagement or a written change to the existing one, and may carry additional fees.

Your responsibilities

To deliver our work effectively we rely on you to provide timely access to relevant systems, information, and people, and to give us accurate and complete information. Delays or incomplete information on your side may affect timelines and outcomes, and are not the responsibility of Karmion Grid.

05 Intellectual property

All content on this website — text, layout, graphics, and design — is owned by or licensed to Karmion Grid and is protected by applicable intellectual property law. You may not reproduce, republish, or redistribute it for commercial purposes without our written consent.

For deliverables produced during an engagement, ownership and licensing are set out in the engagement agreement. As a general rule, on full payment you receive the right to use the deliverables prepared specifically for you within your organization. We retain ownership of our underlying methods, templates, and general know-how.

06 Confidentiality

We treat the non-public information you share with us as confidential and use it only to perform the agreed work. We expect the same care from you with respect to our methods, proposals, and non-public materials. Specific confidentiality obligations are detailed in the engagement agreement and in our Data Security Notice.

07 Disclaimers and limitation of liability

The website is provided on an “as is” and “as available” basis. While we work to keep its content accurate and current, we make no warranty that it is complete, error-free, or continuously available. Detailed disclaimers concerning our advice are set out in our Disclaimer page.

To the fullest extent permitted by law, Karmion Grid will not be liable for any indirect, incidental, special, or consequential loss, or for any loss of profit, revenue, data, or business, arising from your use of the website or our services. Where liability cannot be excluded, our total aggregate liability in connection with an engagement is limited to the fees paid to us for that engagement.

08 Third-party links and tools

Our advice may reference third-party products, vendors, or services. Any such reference is for your information only and is not an endorsement or a guarantee. Your relationship with any third-party vendor, including the terms and pricing you agree with them, is solely between you and that vendor.

09 Suspension and termination

We may restrict or withdraw access to the website at any time without notice. The terms for ending a consulting engagement, including notice periods and fees for work already performed, are set out in our Refund & Cancellation Policy and in the engagement agreement.

10 Governing law

These terms are governed by the laws of the State of Colorado and the applicable laws of the United States, without regard to conflict-of-law principles. The courts located in Denver, Colorado have jurisdiction over any dispute arising from these terms, subject to any dispute-resolution process agreed in an engagement agreement.

11 Changes to these terms

We may update these terms from time to time to reflect changes in our practice or in the law. The date at the top of this page shows when it was last revised. Continued use of the website after a change means you accept the updated terms.
